Terms and Conditions of the "Your Rewards" Loyalty Program

1. INTRODUCTORY PROVISIONS
1.1
These Terms and Conditions of the “Codex Labs Your Rewards” Loyalty Program (the “Program”) govern the rights and obligations of:

Registered in the Commercial Register maintained by the competent court
(the “Organizer”)
and customers participating in the Program (the “Program Member”).
1.2
The Program is a customer loyalty program intended for consumers purchasing through the Organizer’s online store available at:
codexlabs.co
1.3
The Program allows registered customers to earn points and redeem discounts, rewards, and other benefits under the conditions set forth in these Terms and Conditions.
1.4
These Terms and Conditions constitute a separate legal document and supplement the Organizer’s Terms and Conditions and Privacy Policy.
1.5
By participating in the Program, the customer agrees to these Terms and Conditions.
2. MEMBERSHIP CONDITIONS
2.1
The Program is intended exclusively for natural persons acting as consumers.
2.2
The Program is available only to persons aged 18 years or older.
2.3
Membership in the Program is established by registering a customer account in the Organizer’s online store.
2.4
Each customer may hold only one customer account.
2.5
The Program is not intended for businesses or persons purchasing for business purposes.
2.6
Membership in the Program is free of charge.
2.7
Benefits, points, discounts, and other advantages obtained through the Program are non-transferable and may not be sold, exchanged, or otherwise commercially exploited.
2.8
The Organizer reserves the right to refuse registration or terminate membership in the event of:

violation of these Terms and Conditions,
-
suspected fraudulent activity,
-
abuse of discount mechanisms,
-
creation of duplicate accounts,
-
unauthorized manipulation of points or rewards,
-
conduct detrimental to the Organizer or third parties.
3. EARNING POINTS
3.1
For every CZK 1 spent on purchases made through the Organizer’s online store, the Program Member shall receive 1 point.
3.2
For orders placed in a currency other than CZK, the order value is automatically converted using Shopify’s dynamic exchange rate system (“Dynamic FX”), which is updated automatically in real time. The applicable exchange rate is displayed to the customer during the checkout process, in the shopping cart, and at payment.
3.3
The number of points credited for orders placed in a foreign currency is determined based on the converted order value in Czech crowns (CZK).
3.4
Points are credited after the order has been properly completed and paid for.
3.5
Points are not awarded for:
-
shipping costs,
-
gift vouchers,
-
cancelled orders,
-
returned orders,
-
orders showing signs of fraudulent activity.
3.6
The Organizer reserves the right to determine which products or promotions are excluded from earning points.
3.7
Points are:
-
non-transferable,
-
not redeemable for cash,
-
not a legally enforceable currency,
-
neither electronic money nor a payment instrument.
3.8
Points constitute solely a marketing benefit provided by the Organizer.
3.9
In the event of a technical error, system error, human error, or incorrect system configuration, the customer shall not automatically acquire any legal entitlement to incorrectly credited points, discounts, benefits, or membership tiers. The Organizer is entitled to correct such errors at any time, including retroactively.
4. REDEEMING POINTS (CASHBACK)
4.1
Collected points may be exchanged for discount vouchers (“cashback vouchers”).
4.2
The conversion rate is:
30 points = CZK 1 discount
4.3
The value of cashback vouchers is expressed in CZK. When redeemed in another currency, the value is converted using Shopify’s dynamic exchange rate applicable at the time the order is completed.
4.4
Cashback vouchers may be used for products available in the Organizer’s online store.
4.5
Cashback vouchers:

may be combined with product discounts,
-
may be combined with free shipping,
-
may not be combined with other promotional discount codes,
-
may not be combined with influencer or partner promotional codes.
4.6
The Organizer reserves the right to:
-
set a minimum order value,
-
limit the maximum cashback amount,
-
exclude certain products or collections.
5. MEMBERSHIP TIERS AND BENEFITS
5.1
For the purpose of determining a membership tier, the value of orders placed in a currency other than CZK shall be automatically converted into Czech crowns (CZK) using the exchange rate applied by the Organizer or the payment service provider. The conversion is based on Shopify’s dynamic exchange rate applicable at the time the order is completed.
5.2 BRONZE
This tier is achieved upon reaching a total purchase value of at least CZK 5,000.

discount codes for partner promotions.
5.3 SILVER
This tier is achieved upon reaching a total purchase value of at least CZK 10,000.
Benefits:

one-time 20% discount,
-
partner discount codes,
-
a digital Zoom meeting with founder Barbara Paldus,
-
priority access to campaigns (“early access”).
5.4 GOLD
This tier is achieved upon reaching a total purchase value of at least CZK 25,000.
Benefits:

all SILVER tier benefits,
-
one-time free shipping,
-
opportunity to test new products,
-
a gift.
5.5 VIP
This tier is achieved upon reaching a total purchase value of at least CZK 40,000.
Benefits:
-
20% VIP discount for the duration of the Program,
-
invitations to VIP events,
-
tickets to selected events,
-
Codex Labs merchandise,
-
partner discount codes,
-
a digital meeting with the founder,
-
priority access to campaigns,
-
one-time free shipping,
-
opportunity to test new products.
6. DISCOUNT RULES AND COMBINABILITY
6.1 Percentage discounts obtained through the Program:
-
apply only to selected collections,
-
may be combined with product discounts,
-
may be combined with free shipping,
-
may not be combined with other promotional discount codes,
-
may not be combined with influencer promotional codes.
6.2 Cashback vouchers:
-
may be combined with product discounts,
-
may be combined with free shipping,
-
may not be combined with other promotional discount codes,
-
may not be combined with influencer promotional codes.
6.3 Gifts:
-
may be combined with product discounts,
-
may be combined with other promotional discount codes,
-
may be combined with free shipping.
6.4 Free shipping:
-
may be combined with product discounts,
-
may be combined with promotional discount codes.
6.5
The Organizer shall have sole discretion to determine whether individual discounts, benefits, cashback vouchers, influencer codes, partner codes, and other promotional offers may be combined.
6.6
The Organizer reserves the right to designate products, collections, or campaigns to which the benefits of the Program may not be applied.
7. RETURNS AND ORDER CANCELLATIONS
7.1
In the event of withdrawal from the purchase agreement or the return of goods:
-
points earned from the relevant purchase will be deducted,
-
the membership tier may be downgraded,
-
entitlement to related benefits may be forfeited.
7.2
If the customer has redeemed a cashback voucher or another reward:
-
the refunded amount may be proportionally reduced,
-
the redeemed benefit may be invalidated or deducted.
7.3
The Organizer reserves the right to individually assess cases of excessive returns or abuse of the Program.
8. POINT EXPIRATION
8.1
Points currently do not have a specified expiration period.
8.2
However, the Organizer does not guarantee their unlimited validity and reserves the right to amend the point expiration rules in the future.
8.3
Customers will be informed of any such change at least 30 days in advance via email or through the online store.
9. REFER-A-FRIEND PROGRAM
9.1
A Program Member may recommend the Organizer’s online store to other individuals using a unique referral link.
9.2
The referred customer will receive a discount code worth CZK 250 for their first order.
9.3
Once the referred customer completes their first order:
-
using the applicable referral code, and
-
using the same email address,
the referring customer shall become entitled to a discount code worth CZK 250.
9.4
The referral program applies exclusively to new customers who have not previously made a purchase from the Organizer.
9.5
The Organizer reserves the right to:
-
refuse a referral reward,
-
cancel referral codes,
-
remove granted benefits,
in cases of suspected:
-
circumvention of the Program rules,
-
creation of fake accounts,
-
self-referral,
-
abuse of the referral system.
9.6
The Organizer reserves the right to withhold, revoke, or invalidate any referral reward if there is suspicion of abuse of the referral program, circumvention of the rules, creation of duplicate accounts, self-referral, or any other conduct contrary to the purpose of the Program.
9.7
A Program Member may provide the email address of a referred person only if they have obtained that person's consent or have another appropriate legal basis under applicable laws and regulations.
10. CHANGES TO AND TERMINATION OF THE PROGRAM
10.1
The Organizer reserves the right to modify, restrict, suspend, or terminate the Program at any time, unilaterally, with or without cause, and without compensation.
10.2
In particular, the Organizer may:

change the value of points,
-
change the rules for earning points,
-
modify Program benefits,
-
modify the conditions of individual membership tiers,
-
introduce point expiration,
-
discontinue certain rewards.
10.3
Any changes shall become effective upon publication on the Organizer’s website unless stated otherwise.
10.4
The Organizer shall not be liable for:
-
technical outages,
-
unavailability of the Program,
-
system errors,
-
loss of data caused by circumstances beyond its reasonable control.
10.5
The terms “lifetime discount,” “lifetime VIP discount,” or similar marketing designations mean a discount provided for the duration of the Program and while the customer maintains an active customer account, unless the Organizer decides otherwise.
11. PERSONAL DATA PROTECTION
11.1
Customers’ personal data are processed in accordance with:
-
Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR),
-
applicable laws of the Czech Republic,
-
and relevant legislation of the European Union.
11.2
Information regarding the processing of personal data is set out in the Organizer’s Privacy Policy.
11.3
For the purposes of operating the Program, the Organizer may process, in particular:
-
identification data,
-
contact details,
-
order history,
-
information regarding the use of Program benefits.

12. FINAL PROVISIONS
12.1
These Terms and Conditions shall be governed by the laws of the Czech Republic.
12.2
Nothing in these Terms and Conditions shall affect the consumer rights arising under the mandatory laws of the country of the consumer’s habitual residence.
12.3
Any disputes arising in connection with the Program shall be resolved by the competent courts of the Czech Republic unless mandatory provisions of European Union law provide otherwise.
12.4
If any provision of these Terms and Conditions is found to be invalid or unenforceable, such invalidity or unenforceability shall not affect the validity of the remaining provisions.
12.5
The current version of these Terms and Conditions shall always be available on the Organizer’s website.
12.6
These Terms and Conditions may be available in multiple language versions. In the event of any discrepancy between language versions, the Czech version shall prevail.
12.7
The Organizer reserves the right to amend or supplement these Terms and Conditions at any time. The revised version shall become effective upon publication on the Organizer’s website unless stated otherwise.
12.8
These Terms and Conditions shall enter into force on 12 March 2026.
